ANA, S.A. was, as at 31 December 2012, held by the Portuguese State through the Directorate-General of the
Treasury and Finances (DGTF) in 31.44% and the state holding Parpública – Participações Públicas, SGPS, S.A. in
68.56%. On 28 December 2012, the 31.44% held by the Directorate-General of the Treasury and Finances were
transferred to Parpública, with the corresponding registration taking place on 4 January 2013, since which time
this entity has held 100% of the ANA, S.A. share capital.
ANA, S.A. holds a 70% share of ANAM, S.A., concessionaire for the management of the airports in Madeira and
Porto Santo in the Autonomous Region of Madeira. The Autonomous Region of Madeira holds 20% and the
Portuguese State the remaining (10%).
ANA, S.A. also owns 100% of Portway, S.A., its handling subsidiary, currently providing services in the airports of
Lisbon, Porto, Faro and Funchal.
Following the suspension of the project for the new airport for Lisbon, the dissolution and subsequent liquidation
of NAER, S.A. the company set up to develop it, was approved by the General Assembly of the company. The
extinction of this company was decided by a unanimous vote and took effect on 15 October 2012, with its entire
assets being transferred to ANA, S.A..
Pursuant to the terms laid out in the Financial and Economic Assistance Programme signed with the Portuguese
State, the European Commission, the European Central Bank and the International Monetary Fund, ANA, S.A. is
currently in the process of privatisation, in which 100% of the shares of its capital are to be sold. By Resolution of
the Council of Ministers no. 111-F/2012 of 27 December 2012, the company Vinci Concessions S.A.S. was
selected as the winner of the privatisation process.
1.3_BUSINESS PORTFOLIO
The ANA Group’s business portfolio includes both aviation and non-aviation businesses, as well as airport security
services and an assistance service for persons with reduced mobility (PRM).
The aviation business involves the management of the infrastructures necessary to both passenger and cargo air
traffic. This includes ground handling services for aircraft, passengers, baggage, cargo and mail.
The non-aviation business involves managing the retail and advertising offer, airport real estate (buildings linked to
airport operations, and commercial buildings for offices and warehouses, and, beginning in 2012, hotels), parking
lots and the car rental facilities in the immediate surroundings.
Airport security and assistance to persons with reduced mobility are services provided for the protection of
passengers and goods and the support offered to persons with reduced mobility travelling by air.
Financial compensation for these services is covered by fees charged on a strict basis of recovery of costs incurred
in these activities. The charging of fees to finance security measures (component A) is the responsibility of INAC –
Portuguese Civil Aviation Authority, which later distributes the revenues among the airport operators, in proportion
to the services provided by each entity respectively.
