13.2.2.3.3_Remuneration of the Audit Board and the
Statutory Auditor
The following gross fixed monthly compensation,
payable 14 times a year, has been set for the audit
board by the UWC dated 10 August 2012:
• Chairman – Gross monthly remuneration of
€1,955.00 paid 14 times per year;
• Members – Gross monthly remuneration of
€1,466.00 paid 14 times per year.
Pursuant to point 3 of the aforesaid UWC, the gross
amounts set for the remunerations of the members
of the audit board will be subject to applicable reduc-
tions stipulated in article 19(1)(9) and of Law
no. 55-A/2010, of 31 December. The payment of
holiday and Christmas allowances has also been
suspended.
The details of the remuneration earned by the audit
board can be found in Annex II of this report (annex
4 of the instructions regarding the process of report-
ing of accounts for 2012).
The statutory auditor was paid an annual fee of
€27,036.00, an amount to which the stipulations of
article 22 of Law 55-A/2010 were applied.
13.2.3_Organisational structure
13.2.3.1_ANA Group
The ANA Group comprises three companies, whose
core business is linked to the airport sector, predomi-
nantly engaged in infrastructure management.
• ANA Aeroportos de Portugal,
S.A.
Holding company, created by Decree-
Law no. 404/98 of 18 December, it is a company with
exclusively public capital, which has been attributed the
concession for public airport services to support civil
aviation.
The ANA, S.A. Concession Contract, signed with the
Portuguese State on 14 December 2012, formalised
the concession granted through Decree-Law no. 404/98
as expressed by the “right to provide airport activities
and services supporting civil aviation” for a period of 50
years in the airports of Lisbon, Porto, Faro, at the civilian
terminal at Beja on the Portuguese mainland and at the
airports of Ponta Delgada, Santa Maria, Horta and
Flores in the Autonomous Region of the Azores.
ANA, S.A.’s share capital at 31 December de 2012 was
200,000,000 euros.
• ANAM Aeroportos e Navegação
Aérea da Madeira, S.A.
ANAM, S.A. was created in 1991 by Decree-Law
no. 453/91 of 11 December and is a state-owned
company whose object is to study, plan, build and
manage the airports located in the Autonomous Region
of Madeira.
By means of Regional Legislative Order no. 8/12/M,
of 21 April, the Autonomous Region of Madeira issued
a concession to ANAM, S.A. to manage the airports in
Madeira and Porto Santo.
The 25-year period for the concession, which began in
1993, was later extended, as per the terms of Regional
Legislative Decree no. 7-A/200/M, of 15 March,
for periods of 5 years, up to the maximum limit of an
additional 15 years, i.e. up to 2033.
ANAM, S.A.’s share capital as at 31 December 2012
was 67,500,000 euros, 70% held by ANA, S.A..
• PORTWAY Handling de Portugal, S.A.
Portway, S.A. was created in July 2000 and its
object is to provide handling services, that is, to
assist aircrafts calling at Portuguese airports.
Portway, S.A.’s object also includes the provision of
internal and external training.
