Concession Contract with the approval of the grantor. In these cases, the grantor shall pay the residual amount of
the assets or extend the concession period.
Under the terms of the Concession Contract, the period of the contract may be extended, specifically in the event
the Concessionaire’s proposal for the design, construction, financing and/or operation and management of the new
Lisbon airport is approved by the grantor.
1.3.2_ANAM, S.A.
Through Regional Legislative Decree 8/92/M, of 21 April, the Autonomous Region of Madeira granted ANAM, S.A.,
the “right to carry out work to enlarge Santa Catarina airport and to develop its infrastructures, as well as to plan
and operate the public service supporting civil aviation in the Autonomous Region of Madeira, in accordance with
the law and the following clauses”.
The Concession Contract, which had an initial term of 25 years starting from 01 October 1993, was later extended,
by Regional Legislative Decree 7-A/2000/M, of 15 March, for periods of 5 years, up to a maximum of 15 years.
In 2010, the Autonomous Region of Madeira agreed in principle to extending the concession period to 2053, which
in accounting terms is considered the final year of the concession.
The Autonomous Region of Madeira, through Resolution no. 53/2013, of 6 February, of the Regional Government
Council, expressed its intention to sell the share capital it holds in ANAM, S.A. to ANA, S.A. in 2013, as part of the
privatisation of the latter and to adapt the current Concession Contract for the Region’s airports to the Concession
Contract of ANA, S.A..
1.4_LEGAL REGULATORY FRAMEWORK
Decree-Law no. 254/2012, of 28 November, approved the rules applicable to the airport sector, unifying the
legislation that was scattered throughout various documents.
The aforesaid Decree-Law regulates:
• the licensing regime for the private use of airport assets in the public domain and the performance of activities
and services in airports and national public aerodromes, as well as the fees related to these activities;
• a set of fees applied to all airports and aerodromes located in Portuguese territory, specifically the Security Fee
due on the number of passengers boarded;
• the conditions for applying the juridical regime related to the rights of people with disabilities and persons with
reduced mobility;
• the rules and common principles applicable to the fees subject to economic regulation and setting the indicators
of quality in service, to be followed at airports and aerodromes located in Portuguese territory.
In the process, the following regulatory measures were revoked: Decree-Law no. 102/90, of 21 March as currently
worded, Decree-Law no. 102/91, of 8 March as currently worded, Decree-Law no. 241/2008, of 17 December,
Decree-Law no. 217/2009 of 4 September as currently worded, Decree-Law no. 33/2010 of 14 April, Decree-
Law no. 86/2011, of 1 July and Regulatory Decree no. 24/2009, of 4 September.
