_PRELIMINARY NOTE
ANA – Aeroportos de Portugal, S.A. had its origins in the Public Company Aeroportos e Navegação Aérea, ANA, E.P.
created by Decree-Law no. 246/79 of 25 July.
With Decree-Law no. 404/98, the Government, recognising the opportunity to enhance airport activities, carried
out:
• The split of ANA, E.P., creating a company to provide public service in support of civil air navigation (NAV,
E.P.);
• The transformation of ANA, E.P. into a private limited company renamed ANA – Aeroportos de Portugal, S.A..
The company is governed by the provision of the Decree-Law mentioned above, by its Articles of Association,
by the regulating standards for limited companies and especial norms applicable to the company’s business
activity.
The company’s registered offices are located at Rua D, Edifício 120, Lisbon airport.
ANA – Aeroportos de Portugal, S.A. (ANA, S.A.) is the parent company of the ANA Group, the structure and activity
of which are described in the following points.
The Financial Statements given refer to the individual financial statements for ANA, S.A. and the consolidated
financial statements for the ANA Group.
All values are expressed in euros, unless otherwise indicated.
1_ACTIVITY
1.1_GROUP STRUCTURE
ANA, S.A. was, as at 31 December 2012, held by Parpública – Participações Públicas, SGPS, S.A. (68.56%), and by
the Portuguese State through the Directorate-General of the Treasury and Finances (DGTF) with 31.44%.
On 28 December 2012, the share held until then by the Treasury and Finance Department was transferred to the
state holding company Parpública, with the corresponding registraton taking place on 4 January 2013, since which
time this entity has held 100% of the ANA, S.A. share capital.
ANA, S.A., the parent company, holds a 70% share of ANAM – Aeroportos da Madeira, S.A. (ANAM, S.A.), the
company that operates the airports of Madeira and Porto Santo in the Autonomous Region of Madeira, and 100%
of Portway, Handling de Portugal, S.A., its handling subsidiary.
On 18 April 2012, at its General Meeting, NAER – Novo Aeroporto, S.A., (84.41% held by ANA, S.A.), resolved
to initiate the liquidation of the company. The liquidation was approved by Unanimous Written Consent on
20 December 2012, effective as from 15 October 2012, and the corresponding registration was made on
21 December 2012. The NAER, S.A. patrimony was transferred in its entirety to ANA, S.A..
